LATAM Airlines Group S.A. has announced the successful closing of a public offering conducted by certain shareholders, known as the “Selling Shareholders.” This offering comprised the sale of 19,000,000 American Depositary Shares (ADSs), with each ADS representing 2,000 common shares of LATAM. The shares were priced at $24 per ADS. Notably, LATAM did not receive any proceeds from this transaction.
The ADSs began trading on the New York Stock Exchange on July 25, 2024, under the ticker symbol “LTM.”
Goldman Sachs & Co. LLC, Barclays Capital Inc., and J.P. Morgan Securities LLC led the global coordination and bookrunning for this offering. Additional bookrunners included Citigroup Global Markets Inc., Santander US Capital Markets LLC, Deutsche Bank Securities Inc., BNP Paribas Securities Corp., MUFG Securities Americas Inc., Natixis Securities Americas LLC, and LarrainVial Securities US LLC. Morgan Stanley & Co. LLC acted as a co-manager.
A registration statement on Form F-3, including a prospectus related to the ADSs, was filed with the U.S. Securities and Exchange Commission (SEC) on July 18, 2024, and became effective automatically.
